Acceptance of Terms & Conditions

By accessing or using the services provided by Lannister Consultants, you acknowledge and agree to our Terms & Conditions. Limitation of Liability

Customer agrees that in no event shall Lannister Consultants be held liable for any damage, loss, claim, injury, or liability resulting from your use of the Website or arising out of or in connection with the Services or information provided by Lannister Consultants. This includes, but is not limited to, lost profits, special, direct, indirect, incidental, punitive, compensatory, or consequential damages.

To the extent permitted by law, neither Lannister Consultants nor any of its affiliates shall be liable for any damages exceeding the fees, if any, that you have paid to Lannister Consultants during the calendar year in which the claim arose, or USD $100, whichever is greater.

Lannister Consultants and its affiliates shall not be liable for any special, incidental, indirect, punitive, or consequential damages, or loss of use, profit, revenue, or data to you, any entity, or any third party. This limitation of liability applies regardless of whether (i) your claim is based on contract, tort, statute, or any other legal theory, (ii) we knew or should have known about the possibility of such damages, or (iii) the limited remedies provided in these Terms fail to fulfill their essential purpose.

Waiver and Release

By using the Services, the Customer hereby waives, discharges, and releases Lannister Consultants, its owners, partners, affiliates, representatives, employees, agents, licensors, suppliers, and any other third-party providers from any and all claims, losses, demands, or liabilities of any kind, whether known or unknown, disclosed or undisclosed, arising out of or in any way connected with your use of the information or Services provided by Lannister Consultants.

The Customer also acknowledges and agrees that when third parties provide fulfillment services on behalf of Lannister Consultants, and such services have been appropriately charged to the Customer (including auto-renew fees), these fulfillment services are non-refundable and ineligible for any discounts once charges have been applied to the Customer’s account.

Indemnification

By using the services provided by Lannister Consultants, you agree to indemnify, defend, and hold harmless Lannister Consultants, its owners, partners, affiliates, employees, agents, licensors, suppliers, and any third-party providers, from and against any claims, losses, expenses, damages, and costs, including legal fees, arising out of or in connection with your use of the information or services offered by Lannister Consultants.

You also agree to indemnify, defend, and hold harmless Lannister Consultants, its owners, representatives, and employees, from and against any claims, losses, expenses, damages, and costs, including legal fees, arising out of or related to services provided by affiliates, partners, suppliers, third-party providers, or vendors. This includes, but is not limited to, any act, omission, negligence, or error by such affiliates, partners, suppliers, or third-party providers.

You agree to defend, indemnify, and hold Lannister Consultants and its partners, as well as any of our subsidiaries, affiliated companies, officers, employees, directors, or service providers (“Lannister Consultants Affiliates”), harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees and costs, arising out of or in any way connected with:

1. Your content or your access to or use of our services.
2. Any alleged breach of these Terms.
3. Any infringement, misappropriation, or violation of any third-party right, including but not limited to intellectual property, privacy, or publicity rights.
4. Your violation of any applicable laws, regulations, codes, or orders of governmental authorities.
5. Any misrepresentation made by you.

You agree to cooperate with Lannister Consultants as reasonably requested in the defense of any claim. Lannister Consultants reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you. You will not settle any claim against Lannister Consultants or its affiliates without obtaining prior written consent, which Lannister Consultants may withhold at its discretion.

Choice of Law and Binding Arbitration

In the event of a dispute between you and Lannister Consultants, we encourage you to contact our customer service team for resolution. However, if a resolution cannot be reached, any controversy or claim arising out of or relating to your use of the Website, the information provided on the Website, any communications or advertisements regarding our Services, or any dispute related to these Terms or the provision of Services by Lannister Consultants shall be resolved through final and binding arbitration.

The arbitration will be conducted by a single arbitrator with at least five (5) years of experience in the relevant field of the dispute. The arbitrator must not have been a contract agent or former employee of either party. If both parties cannot agree on an arbitrator, one will be appointed in accordance with the rules of the American Arbitration Association (AAA) within ten (10) days of the request for assistance in selecting a neutral arbitrator.

The arbitration will take place under the Commercial Rules of the AAA, either in person at a mutually agreed location or online via arbitration resolution processes. The arbitration will be limited to a maximum duration of three (3) days, with no discovery beyond the exchange of necessary information and materials within a thirty (30) day period. The final decision of the arbitrator will be issued within ninety (90) days of the arbitrator’s selection, unless otherwise agreed by both parties.

The arbitrator’s authority is limited to awarding equitable relief and actual damages, excluding punitive, consequential, special, or incidental damages (such as lost profits). However, the arbitrator may award liquidated damages and legal fees in cases of fraud, willful misconduct (such as registering a legal entity under a third party’s name without consent), or unjustified chargebacks requested by the Customer, as determined by Lannister Consultants at our sole discretion.

Both parties will equally share the costs and expenses incurred by the arbitrator, but each party will be responsible for their own attorney fees and any costs associated with their legal representation, unless stated otherwise in these Terms. The arbitrator’s decision will be final and binding and cannot be appealed.

General Provisions

Severability
If any provision of these Terms is deemed illegal, void, or unenforceable by an arbitrator or court of competent jurisdiction, the provision will be modified to make it enforceable and effective to the fullest extent possible, reflecting the intent of the parties. If the modified provision is still found invalid, illegal, void, or unenforceable, the remaining provisions of these Terms will continue to be valid and enforceable.

Entire Agreement
These Terms represent the entire and exclusive agreement between you and Lannister Consultants regarding the Services provided. They supersede all previous agreements, whether written or oral, or established by custom, practice, or policy, regarding the subject matter of these Terms. By using our Services, you confirm that you have had the opportunity to review these Terms and our Privacy Policy with legal counsel of your choosing.

No Informal Waivers, Agreements, or Representations
Any failure to take action regarding a breach of these Terms does not waive the right to act on that breach or similar breaches in the future. Except as specifically stated in these Terms, no representations, statements, waivers, or other actions by either party shall be legally binding unless expressly documented in writing, referencing these Terms, and clearly stating the intent to modify or supplement the Terms.

Assignment and Delegation
You may not assign or delegate any rights or obligations under these Terms without the prior written consent of Lannister Consultants. Any unauthorized assignment or delegation will be considered invalid. Lannister Consultants may assign or delegate its rights and obligations under these Terms at its discretion, effective upon sending a notice to you via the email address we have on file, or by posting a notice on the Website if we do not have your email address.

Cancellation Policy and Termination

Lannister Consultants reserves the right, at its sole discretion, to refuse or cancel Services to any individual or entity for any reason, including misuse of promotions or discounts. For example, if a promotion is offered for company filing or taxation services, the promotion can only be used once per Customer. Any attempt to misuse such promotions, such as using them multiple times, may result in the refusal of Services or the cancellation of existing orders. Lannister Consultants is not liable for any damages or losses resulting from such cancellations or refusals.

Termination of Services

Lannister Consultants may terminate these Terms or any Services at any time, for any reason or no reason, with or without notice. Termination will be effective immediately or as specified in our notice.

We reserve the right to restrict, suspend, or block access to any Customer who abuses or misuses the Services. Misuse includes, but is not limited to:

• Violating intellectual property rights.
• Using the Services to generate or transmit spam.
• Engaging in prohibited activities or behaviors contrary to the Company’s mission or purpose.

Upon termination:

• Access to some or all of the Services may be revoked.
• IP addresses associated with terminated Customers may be blocked.
• All licenses and rights granted to you under these Terms will cease immediately.
• Any fees invoiced prior to termination will remain due, and no refunds will be issued for previous payments.

Auto-Renewal Services and Price Changes

Certain services provided by Lannister Consultants may automatically renew to ensure that your business entity remains in compliance with government requirements in various jurisdictions. If applicable, a valid and active payment method, such as a credit card, will be charged for the renewal of ongoing services, including but not limited to Registered Agent services.

The annual fee for Registered Agent services or any other recurring service will be clearly displayed on our Website or provided within the Customer Dashboard. Customers may cancel the Registered Agent service at any time by appointing a new registered agent with the relevant government authority and notifying Lannister Consultants of the change. If notification is not received before the expiration of the current service period, Lannister Consultants may proceed with the automatic renewal of these services.

In the event of payment failure during the auto-renewal process, Lannister Consultants reserves the right to terminate the service at its sole discretion. Payment information provided for automatic renewals will only be used for the intended purpose and will not be utilized for other transactions without the Customer’s explicit consent.

Lannister Consultants and its service partners employ reasonable measures to safeguard Customer data in accordance with our Privacy Policy. Please note that all service fees are subject to change at any time without prior notice.
